By accessing our website, the Gadsme Web Console, and downloading and using our Software Development Kit or SDK (including every version of any downloadable SDK), you agree to the Gadsme General Terms and Conditions and to these specific provisions:

  1. You will not attempt to decompile, reverse engineer, or disassemble the SDK, or any part of it, unless expressly permitted by law.

  2. You will treat all information that you receive through the SDK, website, and the Gadsme console as confidential and proprietary information, and you will not disclose such information to any third party without our prior written consent, including personnel of your own organization and/or any subcontractors.

  3. You will use reasonable measures to protect the confidentiality of the information obtained through the SDK, website, and the Gadsme console. "Confidential Information" shall mean all information whether commercial, financial, technical or otherwise, disclosed orally, in documentary form, by demonstration or otherwise which is contained in any form whatsoever (including without limitation data, drawings, films, documents and computer readable media) and which is marked or otherwise designated to show expressly or by necessary implication that it is confidential or proprietary.

  4. You will not use the SDK, website, or Gadsme console for any illegal or unauthorized purpose.

  5. You acknowledge that Gadsme retain all intellectual property rights in and to the SDK, documentation, website, specifications of the Gadsme Ad Tech platform, and all related API (Application Program Interface), Gadsme’s strategy, Gadsme’s commercial pipeline and Gadsme Console.

  6. You acknowledge that any information accessed through the website or the Gadsme console including the documentation is confidential information and must be treated as such.

  7. Access to the console requires a login and password, and you will not share your login credentials with any other user.

  8. Gadsme reserves the right to make changes to these provisions at any time, and you agree that any such changes will be binding upon you.

  9. You cannot use the SDK in production mode without entering into a specific contractual relation with Gadsme.

  10. At any time, Gadsme shall ask you to destroy any information obtained through its website, including every downloadable material such as SDKs.

Neither Gadsme nor anyone else involved in the creation, production, or delivery of the Gadsme’s services shall be liable for any direct, indirect, consequential, or incidental damages arising out of the use of, or inability to use Gadsme’s services (including without limitation, damages for loss of business profits, business interruption, loss of business information and the like) even if Gadsme was previously advised of the possibility of such damages. Some states do not allow limitations on the length of an implied warranty or the exclusion or limitation of incidental or consequential damages, so the above limitation or exclusions may not apply to the user in this case. This warranty gives the user specific legal rights, and the user may also have other rights which vary from country to country.

These provisions shall become effective as of the date any Confidential Information of a disclosing party is first made available to a recipient party. It is understood that the confidentiality obligation contained in this Agreement shall remain applicable without limitation in time.

These provisions shall be governed by and construed in accordance with the laws of France and shall be subject to the exclusive jurisdiction of the French Courts.
